The Montréal Exchange Inc. (the “Exchange”) is recognized by the Autorité des marchés financiers as a self-regulatory organization. The Exchange’s Regulatory Division carries out regulatory duties for the Exchange’s markets. Headed by the Vice-President and Chief Regulatory Officer, the Regulatory Division comprises three departments: Market Analysis and Investigations Unit (monitors trading activities and reviews market transactions to determine whether trading rules and principles are being respected and whether such transactions involve abusive or manipulative trading practices, and investigates potential regulatory violations); Examination Unit (examines derivative instrument trading desks of approved participants active on the Exchange’s markets, in order to verify whether trading practices comply with the Exchange’s Rules and Policies); and Investigations and Disciplinary Matters Unit (in charge of regulatory filings as well as regulatory amendments to the Exchange’s rules, and initiates disciplinary proceedings).

Reporting to the Director, Enforcement and Legal Counsel, the Legal Counsel satisfies the legal needs of members of the Regulatory Division and drafts legal opinions on diverse issues of interest to the Division and, working with the Senior Legal Counsel, Regulatory Affairs, helps develop regulatory policy and prepare and review documents in support of regulatory amendments. At the request of the Director, Enforcement, the legal counsel also acts as a resource person, to any appropriate committee or forum, on any legal or regulatory issue related to the Division’s regulatory activities.

Specific responsibilities:
• Serve as Legal Counsel in the Regulatory Division on regulatory and disciplinary matters;
• Provide liaison between the business units of the Exchange and the Regulatory Division on all matters related to the Division’s regulatory activities;
• Analyze and approve new approved participants and persons interested in gaining access to the Exchange’s trading platform;
• Provide legal advice to members of the Regulatory Division on their regulatory activities and on all matters of interest to the Division, including with respect to securities, administrative law and corporate law;
• Provide legal notices or opinions on all regulatory amendments, in particular to ensure that they comply with the applicable laws and regulations;
• Stay abreast of new legal developments, regulatory requirements and market standards and practices, in Canada and abroad, that are relevant to the operations of the Bourse de Montréal Inc.;
• Prepare and draft various documents, including enforcement pleadings, recommendations to the Vice-President and Chief Regulatory Officer, regulations, circulars, interpretation bulletins, policies and processes;
• In collaboration with the Director of Enforcement, represent the Exchange on disciplinary matters in front of the Exchange’s Disciplinary Committee and/or any other decision-making authority;
• Contribute to public representation initiatives on regulatory reforms regarding derivative instruments;
• Manage and coordinate the Division’s various internal committees;
• Serve as corporate secretary for the purposes of the Special Committee of the Montréal Exchange;
• Collaborate on any of the Division’s projects and perform any other related task assigned by the Legal Counsel’s immediate supervisor.

Skills and Experience:
• Bachelor of Laws;
• Member of the Barreau du Québec (three to five years’ experience);
• At least one year of experience in the securities industry in compliance and/or the trading of derivative products, or with a member of a regulatory or self-regulatory organization (SRO);
• Bilingual, French and English, spoken and written;
• Autonomy;
