Reporting to the Director, Legal –

M&A and Financing, this key role will support the business on all areas of financial services, lending and treasury matters. Work location: Montreal Responsibilities: The successful candidate will: Provide general legal advice for structuring agented and syndicated corporate lending, acquisition or project financing, secured or guaranteed facilities, public issuances, letters of credit, ISDA hedges, banking products and all matters related to the Company’s (and its subsidiaries’) financial operations Draft, review and negotiate complete transaction agreements with counterparties, banking or performance guarantees, indemnity arrangements, other forms of credit enhancement, services agreements, ancillary and corporate documents Engage with and support commercial teams (treasury, mergers & acquisitions and specific business divisions); oversee intercompany financial transactions; participate in due diligence reviews; identify risks and offer solutions that align with transaction goals and corporate standards Keep abreast of financial industry developments; analyze and interpret documents and legislation; advise on business impact and resolve complex legal issues; participate in special projects Provide practical legal advice in a fast-paced environment; participate in continuous business and process improvements; elevate contentious issues with recommendations to senior management Work closely with advisors and oversee management and coordination of legal matters handled by external counsel Requirements: Strong experience in commercial lending, public debt issuances, security and credit support, hedges, general banking matters and financial operations LLB or BCL Degree Member with good standing of the Quebec Bar (additional common law bar membership is a plus) 5 to 7 years post-call relevant experience at a top law firm or large company in-house legal department Strong academic credentials, demonstrated business acumen and superior analytical, drafting and negotiating skills Strong interpersonal and relationship management skills. Ability to work independently and collaboratively in team environments and with all levels of the organization Ability to think critically, communicate concisely and effectively manage complex matters Strong work ethic and organizational skills. Ability to prioritize multiple tasks, achieve objectives in a timely manner, proactively identify legal issues and provide efficient solutions Fluent in French and English Ability to travel Only candidates selected for an interview will be contacted.
